Terms and Conditions

Duration of Contract
The contract for web site hosting will continue for a minimum period of twelve months from the date of contract. At the anniversary of the contract, we will extend the period for a further twelve months, and continually thereafter on payment of the yearly hosting renewal fee.

Charges
Charges for the provision of the service of website hosting are payable annually or monthly in advance. We reserve the right to change the price with one months notice in writing after the initial contracted period if hosting is paid monthly.

Charges for website design and implementation are in accordance with the contract and are as follows: 50% payable on acceptance of job and 50% balance payable 28 days later (or as specified) - a 3 payment option is available on request. The initial payment is used to initiate the marketing of your website to the internet search engines. Any changes to the website may only be requested before the site goes live/online. After this time, any changes requested for the website will be charged for.

Finance and interest free credit options are only available with selected performance websites to applicants who meet our financier's criteria.

A surcharge of 2-3% (over and above the displayed amount) is charged on all credit card payments. We accept Visa and Amex.

Charges for any extra services such as changes to the site as agreed, or website marketing will be invoiced and must be paid within 7 days. We reserve the right to require payment in full at time of order or contract. All charges are subject to the addition of GST, which will be included in the quoted price, and shown separately on the Tax Invoice.

Intellectual Property (IP)
On final payment of this agreement, copyright, design rights, intellectual property rights of the HTML code and graphics becomes the property of you the client, however all programming PHP code, CMS  and database structure is owned by the website developer. (Unless an ‘open source CMS/module is provided) The use of our code and structure can be used by you for the life of the web site or for as long as you host your web site with us.

SEO  (search engine optimization)
Even though we pride ourselves on our search engine optimization ability, much of the success or failure of your website's SEO (ie where and how it ranks in Google keyword search lists) depends on the SEO features included when pricing your website. Due to the day-to-day fluctuations and having no control over opposition sites we make no claims or promises in regard to search engines and search engine placement and position, apart from the specified work we say we will do to optimise your site. If your website goes down for any reason we take no responsibility for any adverse ‘search engine optimisation’ effects. This includes keyword-listing positions. We also offer extra advanced SEO packages. Prices available on request.

Materials for Publication
You are responsible for ensuring that you have obtained all necessary licences or permissions to use materials provided to us for use on your website. We do not accept any liability for any claims of breach of copyright in respect to materials that you provide.

You must not provide to us or publish on your website any materials of a pornographic, indecent, offensive or illegal nature. We reserve the right to reject or remove any material that we consider unacceptable.

Format
Unless otherwise agreed, you must provide all materials in the following format. Text is to be supplied in Microsoft Office (We do accept Office 2007 files) or Open Office format, and images are to be supplied in JPEG, EPS, PNG, AI, GIF or TIF format and need to be of good quality or it will affect the quality on the website. Any images that are to be scanned by us need to be authorised by us. The building of your site will not begin until all the information we require from you has been provided. Images are to be no more than 2MB. Contact us for information regarding re-sizing.

Product/Image Databases

You the client will populate any product database and image gallery we build unless otherwise agreed in writing. If you want us to enter your content we will provide you with a separate quote. In both cases we need to know how many products/images will be included. If you need data entry, talk to us about pricing details. We will provide basic training on how to use the CMS to a single person who has at least an intermediate level of computer skill.

Data entry and copywriting is available from $65 AUD per hour + GST.

Changes
Changes and updates to your website will be charged at an hourly rate of $140+GST for design and $160+GST for programming. Text and image changes will be charged at $95+GST per hour.

During the initial design stage of building your website, we will submit to you 2 design examples for you to choose from. You can request 2 design revisions free of charge and after that you will be charged at our design hourly rate for any further changes. Once we have completed the template design, we will send it to you for sign off.

Up until 30days after going live on-line, we will fix errors and make changes to the project if the project doesn't match the Specification or Quote and is the fault of the ICA or the website developer. (As determined by the website developer) This is provided no other person other than the website developer modifies the site or code. After the post launch 30-day test period, any work to the web site will be charged for. It is important that you check your web site before taking delivery or going live online and before the 30day post launch period. The charge for fixing errors and bugs after the 30 days test period will be $140-$160+GST per hour depending whether it is design or programming related.

You are responsible for any changes you make to your site. If changes and corrections are asked from the website developers for changes that are not included in your specifications, or to fix problems that have been done by others, charges will apply.

Links
We reserve the right to make links from other pages to your website and from your website to ours. We also reserve the right to use your website to market our own site in any promotions, letters, brochures or other marketing that we decide and at our choice.

Domain Names
You will be required to confirm to us that you have full proprietary rights to the name and agree to indemnify us in respect to any claims for damages or losses received from any third party arising from its use.

Hosting
Oxygen Internet reserves a “best efforts” clause that your site will remain visible on the internet. In the unlikely event of (hosting) server failure due to various technical, SPAM or black-listing issues, Oxygen Internet will not be held responsible for any unforeseen downtime of those servers. Downtime does not affect your yearly hosting/maintenance fee.

Bandwidth Usage
All clients have a limited bandwidth facility. If the amount of data transferred from your site exceeds your monthly MB allowance, a fee of 50 cents per extra MB is charged.

Browsers
We will make every effort to ensure that your website will be able to be seen on the internet by your target customer base at all times. However, we make no guarantees that full accessibility will be available at all times and in all circumstances.

Termination
We reserve the right to terminate your website hosting agreement at any time should you become the subject of a receivership, bankruptcy, winding up notice, administration or any notice of arrangements with your creditors.

Technical Support
We do not provide technical support in respect of your own software or hardware, by telephone or otherwise. We do however provide instructional support on the functionality in your new website. This support includes email setup and continues whilst the site is hosted by us. Any additional support provided in connection with the operation and maintenance of your website is discretionary and where provided we reserve the right to make additional charges.
